Your function
Acting as a company secretary, you:
- organize, attend and follow-up on actions identified in Board and Executive Committee meetings, prepare minutes, and ensure effective communication between Board and Exco members – you keep accurate minutes of Board and Executive Committee meetings and ensure they are signed and stored properly;
- ensure the company complies with statutory and regulatory requirements, including filing necessary documents with relevant authorities;
- implement and maintain effective governance frameworks and practices, advising the Board and Executive Committee on corporate governance issues;
- maintain records of Board and Executive Committee decisions, policies, and procedures, ensuring they are easily accessible and stored securely;
- monitor and review compliance with statutory regulations on a regular base and advise the Board and Executive Committee on necessary actions, in close collaboration with the compliance officer.
Additionally,
- You provide legal advice on insurance related matters;
- You manage the outsourcing documentation and safeguard periodic reporting to the ExCo and Board on the outsourcing quality indicators;
- You stay informed of changes in laws and regulations and update company policies and procedures accordingly, as well as insurance related contracts;
- You file necessary regulatory documents, including changes in company structure, director appointments and removals, and share capital changes, and act as a regulatory watch;
- You coordinate with the compliance officer on compliance related topics.
Your profile
- You have obtained a Master in Law degree a with specialization in corporate law (corporate governance);
- You have 3 to 5 years of relevant professional experience in an insurance-related environment preferred or financial regulatory environment (law firm, insurance company, financial institution, broker, etc.)
- You possess a good knowledge of the Belgian insurance law or of the financial regulatory framework. Knowledge of corporate law and/or of the IDD is a plus.
- You are fluent in Dutch, French and English, both oral and written;
- You are well organized, and have a good eye for details;
- You are a team player who enjoys working together with peers and who can work autonomously;
