Job Description
As a core member of the company, you must possess a solid legal background in traditional finance while maintaining a strong passion for exploring the digital asset field. You will serve as a strategic partner to the business teams, providing robust yet innovative legal frameworks for the company's products and services in a rapidly evolving regulatory landscape, ensuring the company's compliant operation and commercial success in global markets.
Key Responsibilities
1.Product and Transaction Legal Support
• Provide end-to-end legal support for products and services, including structuring, agreement drafting, negotiation, and execution.
• Lead the review and negotiation of high-complexity commercial agreements, including but not limited to bank partnerships, payment channel agreements, technology licensing, institutional client agreements, and cross-border service contracts.
2.Regulatory Compliance and License Management
• Continuously monitor digital asset regulatory developments in key markets and provide forward-looking compliance advice for business strategies.
• Assist in applying for and maintaining relevant financial licenses while establishing corresponding compliance control processes.
3.Public Company and Corporate Governance
• Handle legal matters related to public companies, including disclosures of major business developments, related-party transactions, board support, and securities law compliance.
• Collaborate with other teams to ensure that all management and operational activities comply with legal and regulatory requirements.
4.Risk Control and Dispute Resolution
• Identify and assess emerging legal risks in business operations and design risk mitigation plans.
• Manage potential legal disputes, regulatory inquiries, and investigations.
5.Cross-Department Collaboration and Strategic Support
Act as the legal interface, deeply engaging in product development, market expansion, and financing activities by providing real-time, actionable legal solutions.
Key Requirements
1.Basic Requirements
• Law degree and possession of a practicing lawyer qualification in Hong Kong or another common law jurisdiction.
• At least 5 years of hands-on experience in the legal departments of international securities firms, fund companies, investment banks, or listed companies.
• Native or equivalent proficiency in English, with the ability to independently draft and negotiate complex English legal documents and conduct high-level communication.
• Fluency in Mandarin and Cantonese, enabling efficient collaboration with Greater China and international teams.
2.Professional Competencies
• In-depth knowledge of laws, regulations, and compliance practices in traditional finance, including securities, funds, and derivatives.
• Excellent legal reasoning, risk assessment, and business decision-making skills, with the ability to quickly grasp business needs and offer practical advice.
3.Preferred Qualifications
• Experience participating in digital asset, blockchain, or fintech-related projects, with basic knowledge or strong interest in tokenization, smart contracts, cross-border payments, etc.
• A combination of traditional financial legal experience and an understanding of emerging technologies, capable of bridging the two fields.
